Sinthetix (operated by Sinthetik Industries) provides AI engineering, automation, software development, and related technology services. The specific scope, timeline, and deliverables for each engagement are defined in a separate Statement of Work (SOW) or project agreement.
These Terms govern your use of the Sinthetix website (sinthetix.com) and the client portal. They do not supersede any signed SOW or services agreement — those documents govern when there is a conflict.
The client portal is available to active clients with a valid account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Sinthetix reserves the right to suspend or terminate portal access for accounts that are inactive for more than 12 months or that are associated with a completed and closed engagement.
Fees for services are set out in your SOW or invoice. Payment is due within the period stated on the invoice (default: net 15). Late payments may accrue interest at 1.5% per month.
Payment methods stored in the client portal are processed by Stripe. Sinthetix does not store card numbers. Chargebacks initiated without prior communication may result in suspension of services.
Upon full payment, the client owns all custom deliverables created specifically for their engagement (code, designs, documentation). Sinthetix retains ownership of any pre-existing tools, libraries, frameworks, or methodologies used in delivery.
Sinthetix may reference the client relationship and general nature of work in marketing materials unless the client requests otherwise in writing.
Both parties agree to keep confidential any non-public business information received during the engagement. This obligation survives termination of the services relationship.
Confidentiality does not apply to information that is or becomes publicly available through no fault of the receiving party, or that the receiving party independently develops.
Sinthetix warrants that services will be performed in a professional manner consistent with industry standards. We do not warrant that any software will be error-free or uninterrupted.
THE WEBSITE AND CLIENT PORTAL ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SINTHETIX'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 90 DAYS PRECEDING THE CLAIM.
SINTHETIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Disputes shall be resolved in the state or federal courts located in Virginia.
We may update these Terms. Material changes will be posted on this page with an updated date. Continued use of the portal or website after changes constitutes acceptance.
